Terms of Service

These Terms govern your use of jdslonewolfstudio.com (this "Site") and the software products offered by JD's Lone Wolf Studio LLC. Each product may also have its own terms — where they differ, the product's own terms govern your use of that product.

1. Who We Are

JD's Lone Wolf Studio LLC ("we," "us," or "our") is a limited liability company registered in the State of Utah, United States. We design and operate independent software products for freelancers and solo professionals.

Our current product is Invorro, a time tracking and invoicing application available at invorro.com.

2. Acceptance of These Terms

By accessing this Site or purchasing any of our products, you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, please do not use the Site or our products.

You must be at least 18 years old to purchase a subscription from us.

3. This Website

This Site is an informational and marketing site. It describes our company and products and links to them. It does not host user accounts and does not process payments.

We aim to keep the information here accurate and current, but we make no warranty that it is complete or error-free. Product features and pricing may change; the terms and pricing shown inside a product at the time of purchase are the ones that apply.

4. Products and Pricing

Invorro is offered in two tiers:

• Free: 1 client, up to 3 invoices per month, time tracking, invoice PDF export.
• Pro — $9/month USD: unlimited clients, unlimited invoices, Stripe payment links, email delivery, priority support.

Use of Invorro itself is governed by the Invorro Terms of Service, which you accept when you create an account.

5. Payment, Renewal, and Cancellation

• The Pro plan is billed monthly at $9/month in US dollars and renews automatically until cancelled.
• Payments are processed by Stripe and are subject to Stripe's Terms of Service. We do not see or store full card numbers.
• You may cancel at any time. Cancellation takes effect at the end of the current billing period.
• We do not provide refunds for partial months, subject to the exceptions in our Refund & Cancellation Policy.
• If payment fails, we may suspend Pro features after 30 days.
• We will give at least 30 days notice before any price change.
• The Free tier is available at no cost and may be used indefinitely.

6. Acceptable Use

When using this Site or our products, you agree not to:

• Use them for any illegal purpose or in violation of any applicable law
• Attempt to gain unauthorized access to our systems
• Scrape, crawl, or harvest data from the Site or our products
• Interfere with or disrupt our services or infrastructure
• Impersonate any person or entity
• Reverse-engineer, decompile, or disassemble any part of our software
• Circumvent any security control, usage quota, plan limit, or billing control
• Create multiple accounts to evade plan limits or a suspension
• Resell, sublicense, or present our products as your own

We may suspend or terminate access for violations of these Terms.

7. Intellectual Property

This Site and our products — including their content, features, design, code, logos, and the names "JD's Lone Wolf Studio" and "Invorro" — are owned by us and protected by copyright, trademark, and other intellectual property laws.

Using our Site or products grants you no ownership or rights in that intellectual property. You may not copy, modify, distribute, or create derivative works from it without our written permission.

8. Your Data

You own your data. Content you create in our products — time entries, client information, invoices — belongs to you. We handle personal information as described in our Privacy Policy and, for the Invorro application, the Invorro Privacy Policy.

You are responsible for the accuracy and legality of data you enter into our products. We do not verify the accuracy of invoices, rates, or client information.

9. Third-Party Links

This Site links to third-party sites and services, including invorro.com and Stripe. We are not responsible for the content, policies, or practices of any third party. Their terms and privacy policies apply to your use of them.

10. Disclaimers

THIS SITE AND OUR PRODUCTS ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Our products are tools for tracking time and creating invoices. They do not provide legal, tax, or financial advice. You are responsible for your own tax obligations and legal compliance.

11. Service Availability

We aim for reliability but do not guarantee uninterrupted or error-free operation. We are not responsible for issues caused by scheduled maintenance, third-party service failures (including Firebase, Stripe, and Resend), internet connectivity problems, or device and browser incompatibility.

We may modify, suspend, or discontinue features at any time with reasonable notice.

12. Limitation of Liability

EXCEPT FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR DATA BREACHES CAUSED BY OUR SECURITY FAILURE, OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE FEES YOU PAID US IN THE PRECEDING 12 MONTHS.

WE ARE NOT LIABLE FOR:

• Loss of profits, revenue, or business opportunities
• Loss of data (you are responsible for maintaining your own backups)
• Business interruption or downtime
• Indirect, incidental, special, or consequential damages

This limitation applies even if we have been advised of the possibility of such damages.

13. Indemnification

You agree to indemnify and hold us harmless from any claim or demand arising out of your misuse of the Site or our products, your violation of these Terms, or your violation of any law or the rights of a third party.

14. Dispute Resolution

These Terms are governed by the laws of the State of Utah, United States.

If a dispute arises:

1. Informal resolution: Contact us first and we will attempt to resolve the dispute in good faith within 30 days.
2. Binding arbitration: If unresolved, disputes will be settled by binding arbitration in Utah under applicable arbitration rules. Costs will be split unless the arbitrator awards costs to the prevailing party.
3. Small claims: Either party may instead bring an eligible claim in small claims court.

15. Changes to These Terms

We may update these Terms from time to time. Material changes affecting a paid subscription will be announced at least 30 days before they take effect, by email or in-product notice. Continued use after changes take effect constitutes acceptance of the updated Terms.

16. Survival

The following sections survive termination: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Dispute Resolution.
